Terms of Use

These Terms of Use (“Terms”) govern your use of ISC Leadership (the “Portal”), including its public pages, tools, client areas, candidate areas and consultant areas, operated by IndySchool Consultancy (“ISC”, “we”, “us”). By using the Portal you agree to these Terms and to our Privacy Policy. If you use the Portal on behalf of a school or other organization, you confirm that you are authorized to accept these Terms for it. If you do not agree, do not use the Portal.

The Portal supports ISC’s work but does not create a client relationship or any obligation to provide search services. Search and consulting services are provided only under a separate written agreement signed by ISC. If these Terms conflict with that agreement, the agreement controls for the services it covers.

The Portal is intended for adults using it for professional purposes related to independent schools. You must be at least 18 years old to create an account.

• You sign in with a link sent to your email address. You are responsible for keeping your email account secure and for all activity under your account. Do not forward sign-in links or let others use your account, and tell us promptly at tim@indyschoolconsultancy.com if you believe it has been used without your permission.
• Client and consultant access is granted by ISC at its discretion, for specific purposes and periods. ISC may limit, suspend or end any access at any time, including when a search ends, and may sign you out for security reasons.
• A school is responsible for the people it asks ISC to approve, and for telling ISC promptly when someone should no longer have access.

Client areas contain confidential information about a school’s search, and may later contain information about candidates. If you have access to a client area, you agree to use its contents only for your school’s search, to keep them confidential, and not to copy, forward, publish or disclose them to anyone outside the people involved in that search, except as required by law. This obligation continues after your access ends. Confidential searches must not be identified to others.

• You agree that information you give us (including profiles, résumés, messages, uploaded files and form answers) is accurate, is yours to share or shared with authorization, and does not infringe anyone’s rights or break any law or confidentiality obligation.
• You grant ISC a non-exclusive, royalty-free, worldwide license to host, store, copy, use and process that information to operate the Portal, conduct searches and provide our services, as described in the Privacy Policy. Candidate information is added to ISC’s recruiting records and may be considered for current and future searches.
• Do not send information we have not asked for that is sensitive, such as government ID numbers, financial account numbers or health information.
• ISC may decline, remove or stop displaying any content at its discretion.

Creating a profile, expressing interest in a search, joining the Talent Network or applying does not guarantee that you will be contacted, considered, presented to a school, interviewed or hired. Decisions about candidates rest with ISC and its client schools. Search listings may change or close at any time, and details are provided by or on behalf of schools. ISC does not share your profile or résumé with a school without your permission.

The Search Readiness Scorecard, Internal Search Cost Calculator, board guides, insights, market information and other content are general information and estimates, provided for convenience. They are not legal, financial, tax, employment or other professional advice, and are not a substitute for advice about your specific circumstances or for an engagement with ISC. Results depend on the information you enter. You are responsible for decisions you make using them.

You agree not to:

• access areas, accounts or information you are not authorized to access, or try to get around security or access controls;
• copy, scrape, harvest or collect listings, content or personal information by automated means;
• upload viruses or harmful code, or interfere with or overload the Portal;
• impersonate anyone, or give false or misleading information;
• use the Portal to send spam, solicit ISC’s clients or candidates, or build a competing service;
• use the Portal in violation of any law or anyone’s rights.

The Portal and its content (including text, guides, tools, scoring methods, designs, logos and the IndySchool Consultancy name) are owned by ISC or its licensors and protected by law. ISC grants you a limited, revocable, non-transferable license to use the Portal for its intended purpose. You may share links to public pages and search listings, but you may not copy, reproduce, modify, distribute or create works from ISC’s content without our written permission. All rights not expressly granted are reserved.

The Portal links to and relies on services we do not operate, such as school websites, application pages, scheduling, email and file-sharing services. We are not responsible for their content, availability or practices, and your use of them is governed by their own terms.

The Portal and all content are provided “as is” and “as available”. To the fullest extent permitted by law, ISC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Portal will be uninterrupted, secure or error-free, that information (including search listings, deadlines and market data) is complete or current, or that files or messages will be delivered.

To the fullest extent permitted by law, ISC and its owners, consultants, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or related to the Portal or these Terms, even if advised of the possibility. ISC’s total liability for all claims arising out of or related to the Portal or these Terms will not exceed one hundred US dollars (US$100). These limits apply to the Portal only; liability for search services is governed by your written agreement with ISC.

You agree to defend, indemnify and hold harmless ISC and its owners, consultants, employees and agents from any claims, losses, liabilities and expenses (including reasonable attorneys’ fees) arising from your use of the Portal, information you provide, or your breach of these Terms or of anyone’s rights.

We may change, suspend or discontinue any part of the Portal at any time. We may update these Terms by posting a new version here and revising the date above; continued use after an update means you accept it. We may suspend or end your access at any time, including for breach of these Terms. Sections that by their nature should survive (including confidentiality, licenses you grant, disclaimers, limitation of liability and indemnity) survive the end of your use.

These Terms are governed by the laws of the state in which ISC has its principal office, without regard to conflict-of-laws rules. Any dispute arising out of or related to the Portal or these Terms will be brought exclusively in the state or federal courts located in that state, and you consent to their jurisdiction. Before filing any claim, you agree to contact us at tim@indyschoolconsultancy.com and try in good faith to resolve it informally for at least 30 days.

These Terms, the Privacy Policy and any written agreement with ISC are the entire agreement about the Portal. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms; ISC may assign them, including in a merger or sale of its business.
